TOGGL3 TV — Terms of Service

These Terms of Service (“Terms”) are an agreement between you and [LEGAL ENTITY NAME, ENTITY TYPE, JURISDICTION OF FORMATION] (“TOGGL3,” “we,” “us,” or “our”) governing your access to and use of TOGGL3 TV, including toggl3.tv, creators.toggl3.tv, id.toggl3.tv, TOGGL3 mobile and television applications, and related services (collectively, the “Service”).

By creating an account, purchasing a product or subscription, broadcasting, or otherwise accessing or using the Service, you agree to these Terms and the Community Guidelines. Our Privacy Policy explains how we collect, use, disclose, retain, and otherwise process personal information.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

1.1 Adults only

TOGGL3 is an adult gaming community. You must be at least 18 years old, or the age of legal majority where you live if higher, to create an account or participate in the Service.

Contractual capacity. Purchasing a platform Membership or channel subscription requires that you be legally capable of entering into that contract, and becoming a creator or receiving payouts or referral income requires the highest tier of contractual capacity available to you plus the age and identity rules of the payment processor handling that money. We may ask for verification consistent with those requirements.

PENDING RULING — three-tier capacity model (QA 2026-08-20). A three-tier capacity model is under review by counsel and has not yet been adopted: a viewer may be required to be 18+; a buyer additionally required to be legally capable of entering the contract; and a creator required to have full contractual capacity plus the payment processor’s age/KYC rules. See docs/qa/qa-pass-2026-08-20.md. The paragraph above states the shape of that ruling without asserting it as a settled rule.

The under-18 notice wording and the date-of-birth retention wording are also held for counsel review.

When you first visit the Service you will be asked to enter your date of birth to confirm that you meet this requirement. If you are not signed in, the date of birth you enter is used only in your browser to confirm your eligibility and is not retained by TOGGL3. If you enter it while signed in, or when you create an account, your date of birth is retained as part of your account information to confirm your eligibility, as described in our Privacy Policy.

Public streams and recordings are likewise intended for adults. Mature games, strong language, and adult conversation may appear on the Service. This age restriction does not mean sexually explicit content is permitted; sexually explicit content and nudity are prohibited under our Community Guidelines.

You may not misrepresent your age. If we reasonably determine that an account belongs to someone who does not satisfy the applicable age requirement, we may suspend or terminate the account and handle associated information in accordance with applicable law and our Privacy Policy.

1.2 Other eligibility restrictions

You may not use the Service if applicable law prohibits you from doing so, if you are subject to sanctions or other legal restrictions that make your use unlawful, or if we have previously terminated your account and have not expressly authorized you to return.

The Service may not be available in every jurisdiction.

2. The Service

TOGGL3 is a gaming-focused live-streaming and community platform.

2.1 Watching

Live streams and recordings may generally be viewed without payment. A limited free sample is available to anonymous visitors, and certain non-participatory features are available with a free account, but continued viewing and all interactive participation generally require an active Membership, as described in Section 2.4. The Service may change its free allowances and the features available at each stage at any time.

2.2 Free accounts

Certain non-participatory features may be available with a free account, including following channels, guilds, and tournaments, saving content, and receiving related notifications. A free account receives a limited free viewing allowance that may change over time and is described non-numerically in Section 2.4; continued viewing beyond that allowance requires an active Membership.

2.3 TOGGL3 Membership

Interactive participation generally requires an active TOGGL3 Membership. Participation features may include chat, reactions, polls and predictions, guild participation, tournament registration and participation, and broadcasting.

An active channel subscription to a specific channel allows participation in that channel only, as described in Section 6.2, without a TOGGL3 Membership.

The specific features included with Membership, and any fee for acquiring them, are displayed before purchase. The features may evolve over time.

2.4 Viewing stages and free allowances

The Service distinguishes viewing by how far a user has progressed through it, from a first anonymous visit through a paid Membership:

The free sample for anonymous visitors, the free allowance for free accounts, and any grace for existing accounts before a free allowance became active are set out here without stating specific durations. These allowances are offered as a way to try the Service and are not a restriction or guarantee of any particular length; they may be increased or reduced at any time and are described to users in ways that never characterize them as a limit, paywall, or restriction. Once the free sample or free allowance is used, continued viewing requires an active Membership.

2.5 Safety and accessibility

You do not need a paid Membership to report content or access generally available accessibility features, and reporting content does not require an account. Some personalized safety controls, such as persistent blocking or muting, require an account.

Legally required reporting or removal processes (see Section 10.3) may be available without an account and without a paid Membership.

2.6 Changes to the Service

We may add, modify, suspend, or discontinue features of the Service.

If we discontinue a prepaid service before the end of a paid term, any refund, credit, continuation of benefits, or substitute service will be handled in accordance with Section 4, applicable law, and any terms disclosed at purchase. This does not require a refund when access is restricted or terminated because of your violation of these Terms.

3. Accounts and Security

3.1 Registration

You must provide accurate and current information requested during registration, including a valid email address and date of birth.

You are responsible for maintaining the confidentiality of your credentials and authentication factors and for activity occurring through your account to the extent permitted by law.

Notify us promptly if you believe your account, password, passkey, authentication factor, recovery credential, or stream key has been compromised.

3.2 Personal accounts

A TOGGL3 account represents an individual person and may not be sold, transferred, rented, or shared.

You may not create accounts through unauthorized automated means or create an account for another person without TOGGL3’s authorization.

Creator channels, guilds, and other entities available through the Service may have identities separate from the individual account that owns or administers them.

3.3 Handles and names

Handles, channel names, and display names may not impersonate another person or organization, infringe another person’s rights, mislead users about affiliation, or violate the Community Guidelines.

We may reserve, reclaim, rename, or require changes to handles or names, including those that infringe trademarks, impersonate notable people or organizations, or are held primarily for resale or abusive squatting.

Handle changes may be rate-limited, and previous handles may remain reserved for a period after a rename or account closure.

3.4 Security requirements

We may require multi-factor authentication or other enhanced security measures for higher-risk functions, including broadcasting, creator monetization, guild administration, tournament administration, or account recovery.

You are responsible for maintaining reasonable access to your authentication and recovery methods.

4. Paid Services, Billing, and Cancellation

This Section applies to recurring TOGGL3 products purchased directly from TOGGL3, including TOGGL3 Membership and recurring channel subscriptions, unless a more specific provision says otherwise.

4.1 Prices and taxes

The price, billing frequency, renewal terms, and material features of a paid product will be displayed before purchase.

Prices may exclude sales, use, value-added, or similar transaction taxes unless the checkout expressly states that they are included. We or our payment provider may collect taxes where required by law.

4.2 Automatic renewal

When you purchase a subscription identified as automatically renewing, you authorize TOGGL3 or the applicable payment provider to charge the payment method associated with your purchase at the disclosed billing interval until you cancel.

Before purchase, we will disclose the recurring price or method for determining it, billing frequency, renewal terms, and how to cancel.

Where required by law, we will obtain separate or express affirmative consent to automatic renewal and provide a confirmation that you can retain.

4.3 Cancellation

You may cancel an automatically renewing subscription at any time through the cancellation method made available for that subscription.

For subscriptions purchased directly online from TOGGL3, we provide an online cancellation mechanism; you do not need to call or speak with a representative to cancel.

Cancellation stops future renewals. Unless otherwise disclosed or required by law, benefits normally continue through the end of the period already paid for.

4.4 Price and material subscription changes

We may change subscription prices or material subscription terms prospectively.

We will provide advance notice where required by law. A price change will not be applied earlier than permitted by applicable law, and we will obtain new consent where applicable law requires it.

4.5 Failed payments

If a recurring payment fails, we or our payment provider may retry the charge and may provide a grace period.

If payment remains unsuccessful, the affected subscription and associated benefits may lapse.

4.6 Billing records and entitlements

Subscription and purchase status is determined by TOGGL3’s authoritative billing and entitlement records and, where applicable, records received from the relevant app store or payment provider.

A checkout completion screen, local application cache, or payment authorization that has not successfully settled does not independently establish an entitlement.

4.7 Refunds and billing corrections

Except where required by law, stated at purchase, or provided under an applicable app-store policy, payments are non-refundable.

We may issue refunds or credits to correct billing errors, resolve service failures, address fraud, or for other reasons at our discretion.

A refund or billing correction does not automatically revoke a related entitlement unless we expressly state otherwise or the applicable payment platform requires revocation.

4.8 App-store purchases

If you purchase a subscription or other product through Apple, Google, or another app store, billing, cancellation, and refunds may also be governed by that store’s applicable terms and systems.

Where an app store controls the billing relationship, you may need to manage or cancel the subscription through that store.

4.9 Gifts and promotional codes

TOGGL3 may offer paid gifts, redemption codes, promotional grants, or similar products.

Paid gift value will expire only as permitted by applicable law and as disclosed at purchase. Promotional, loyalty, complimentary, or no-cost codes may have separate expiration dates or eligibility restrictions disclosed when issued.

Gifts may not be resold except where applicable law requires otherwise.

4.10 Virtual items and channel features

The Service may include virtual items and community features such as channel points, badges, emotes, titles, and similar digital features.

Virtual items and feature balances have no monetary value, are not redeemable for cash or any other consideration, are not transferable except through features TOGGL3 authorizes, and represent a limited license to use the feature within the Service rather than any property interest.

We may modify, rebalance, or discontinue virtual items and community features. Discontinuing a free or earned feature does not entitle you to compensation; paid products remain governed by Sections 2.5 and 4.7.

5. TOGGL3 Membership

5.1 Platform-wide product

TOGGL3 Membership is a paid platform subscription offered in two tiers. Spectator Membership provides live viewing across the Service beyond the limited sample described in Section 16. Player Membership provides the same viewing together with the participation features described in Section 2.3. A Spectator Membership may be upgraded to a Player Membership where offered. The specific features of each tier are displayed in the Service and may evolve over time.

It is not a subscription to any individual creator.

5.2 Cancellation and lapse

Cancellation takes effect as described in Section 4.3.

When Membership expires or lapses, participation features that require Membership become unavailable, but your underlying account, profile, follows, and eligible history may remain available subject to these Terms and our Privacy Policy.

5.3 Reactivation

You may reactivate Membership where offered.

Reactivation restores applicable participation benefits prospectively and does not entitle you to compensation or service credit for a period during which Membership was inactive.

6. Supporting Creators

6.1 Separate creator-support products

Channel subscriptions, tips, and creator gifts support an individual creator and are separate from TOGGL3 Membership.

A channel subscription does not include platform-wide Membership benefits, and Membership does not include any particular creator’s channel-subscription benefits.

A TOGGL3 Membership is not required to purchase a channel subscription, to gift channel subscriptions, or to tip a creator. Gifts and tips may be purchased without an account, subject to the abuse controls and purchase limits we apply.

A service fee applies to channel subscriptions and gifted channel subscriptions purchased without an active TOGGL3 Membership, as disclosed at checkout. On a recurring channel subscription the fee is assessed on each billing cycle based on whether the subscriber holds an active Membership at that time, and is waived while an active Membership is held. On a gifted channel subscription the fee is assessed once, at purchase, based on whether the purchaser holds an active Membership, and a gift that includes a TOGGL3 Membership term does not carry it.

6.2 Channel subscriptions

A channel subscription provides the creator-specific benefits displayed for that channel, which may include emotes, badges, or other community perks, and allows interactive participation (such as chat, reactions, polls, and predictions) in that channel only. It does not allow participation in other channels, guilds, or tournaments, broadcasting, or any other Membership benefit. Channel-level moderation, including bans, applies regardless of subscription status.

Recurring channel subscriptions automatically renew as disclosed at checkout until cancelled under Section 4.

Creators may modify their content, schedule, emotes, or perks. TOGGL3 does not guarantee that a creator will stream with any particular frequency or maintain any particular benefit indefinitely.

Material pricing changes to an existing recurring subscription will be handled under Section 4.4.

6.3 0% TOGGL3 platform cut*

TOGGL3 applies a 0% TOGGL3 platform cut* to channel-subscription revenue: no portion of a creator’s displayed subscription price is retained by TOGGL3. Any non-Member service fee described in Section 6.1 is charged to the purchaser in addition to the creator’s price and does not reduce the amount attributable to the creator.

Payment-processing fees, payout fees, currency-conversion costs, chargebacks, refunds, taxes or withholding, and charges imposed by payment providers or financial institutions may nevertheless reduce the amount received by a creator, as described in Section 7.

6.4 Tips

Tips are voluntary payments intended to support a creator. Tips do not require a TOGGL3 Membership or an account. A creator may disable tipping without an account for their channel. A tip made without an account is displayed anonymously.

A tip is not a charitable donation, investment, purchase of ownership or equity, deposit, escrow arrangement, or guarantee that the creator will provide any product, service, content, response, or other consideration.

Except where required by law or necessary to correct fraud or a billing error, tips are generally non-refundable once processed.

6.5 Creator unavailability

TOGGL3 does not guarantee that any creator will remain on the Service.

If a creator’s channel is permanently removed, monetization is disabled, or TOGGL3 otherwise determines that recurring channel subscriptions should no longer continue, we may stop future renewals.

Amounts already charged will be handled under Section 4.7 and applicable law.

6.6 Creator-support gifts

A gifted channel subscription may be offered alone or together with an optional TOGGL3 Membership term for the same recipient.

At purchase, the purchaser may designate a recipient for each gifted subscription by TOGGL3 handle or email address. Gifted subscriptions that are not designated to a recipient are provided to the creator of that channel, who (or whose authorized moderators) may distribute them to a person of the creator’s choosing, including an existing subscriber as an additional subscription term. TOGGL3 does not guarantee that any particular person will receive an undesignated gift, and undesignated gifts are not refundable on the basis of how, whether, or when the creator distributes them.

A recipient accepts a gift through the link or code provided to them. Acceptance requires a TOGGL3 account. Gifts that are not accepted before their stated expiry lapse and are not refundable. Where a designated recipient is not eligible to receive gifts in that channel, the gift is provided to the creator to distribute as described above.

The contents, duration, price, any applicable service fee, acceptance conditions, and eligibility restrictions of a gift will be shown at purchase or acceptance.

7. Creators and Monetization

7.1 Becoming a creator

Broadcasting requires an eligible account in good standing, an active TOGGL3 Membership, a verified email address, required security measures, acceptance of applicable creator terms, and completion of channel setup.

Monetization additionally requires successful onboarding with our designated payment provider and continued satisfaction of its account and compliance requirements.

7.2 Independent relationship

Creators use TOGGL3 independently.

Nothing in these Terms creates an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between a creator and TOGGL3.

Creators have no authority to enter contracts, make promises, incur obligations, or otherwise act on behalf of TOGGL3.

TOGGL3 does not guarantee any creator a minimum audience, number of subscribers, amount of revenue, referral income, or other financial result.

7.3 Creator responsibilities

Creators are responsible for their broadcasts, channels, uploads, overlays, music, gameplay, and other material they make available through the Service.

You must have all rights, permissions, licenses, and authorizations necessary for TOGGL3 to use your content as contemplated by these Terms.

You are also responsible for complying with applicable publisher rules, third-party platform rules, advertising rules, and other laws applicable to your activity.

7.4 Earnings, fees, taxes, and payment providers

Creator earnings are paid through TOGGL3’s designated payment provider to an eligible payout account.

Payment-processing fees, payout fees, currency-conversion charges, chargebacks, refunds, and charges imposed by banks or payment providers may reduce the amount ultimately received.

Creators are responsible for taxes arising from their earnings except to the extent TOGGL3 or a payment provider is legally required to collect, withhold, report, or remit an amount.

TOGGL3 or its payment provider may request tax information or provide tax reporting documents where required.

Nothing provided through the Service constitutes tax, accounting, or financial advice.

Payouts may be delayed, withheld, reversed, offset, or clawed back where reasonably necessary to address refunds, chargebacks, fraud, sanctions compliance, payment-provider requirements, legal obligations, or violations of these Terms.

Payout schedules, minimum thresholds, reserves, and operational payment information may be displayed in Creator Studio.

7.5 Referral program

TOGGL3 may operate a creator referral program under which eligible creators receive recurring referral compensation when qualifying members join through their channels.

The current rate, attribution rules, eligibility rules, anti-fraud requirements, and other program terms are published in Creator Studio or accompanying Referral Program Terms.

Referral compensation accrues only for periods in which the referred TOGGL3 Membership qualifies as active under the applicable program rules and the creator remains eligible for monetization.

If a referred Membership pauses, lapses, or is cancelled, referral payments associated with that Membership stop. Reactivation does not automatically restore prior referral attribution unless TOGGL3’s then-applicable program rules expressly provide for restoration or preservation of that attribution.

Rates and rules may change prospectively, but changes do not eliminate valid referral earnings already accrued before the applicable change.

Self-referral, artificial signups, payment manipulation, coordinated abuse, or other attempts to manufacture referral earnings are prohibited.

Creators who promote TOGGL3 or their referral relationship outside TOGGL3 are responsible for clearly disclosing their financial relationship where required by applicable advertising or endorsement law and for complying with the rules of the service on which the promotion appears.

7.6 Creator Membership lapse

If a creator’s own TOGGL3 Membership lapses, broadcasting may be disabled after any applicable grace period.

After an extended lapse, TOGGL3 may make the creator’s public recordings unavailable until the creator reactivates, subject to applicable retention rules and product policies.

Channel identity, followers, settings, and eligible payout information may be retained as described in our Privacy Policy.

7.7 Stream keys and security

Stream keys and similar broadcast credentials, including tournament feed keys and the credentials the Control Room uses to publish a broadcast, are confidential account credentials.

Do not publish or share them. If you believe a credential is compromised, rotate it promptly.

We may require enhanced authentication before broadcasting or monetization activity.

8. User Content

8.1 What User Content includes

“User Content” means content submitted, streamed, uploaded, created, transmitted, displayed, or otherwise made available through the Service by users.

User Content may include livestreams, recordings, clips, chat messages, profile information, channel artwork, emotes, comments, reactions, guild material, tournament material, images, audio, and other content.

8.2 Ownership

As between you and TOGGL3, you retain whatever ownership rights you have in your User Content.

These Terms do not transfer ownership of your User Content to TOGGL3.

8.3 License to operate TOGGL3

You grant TOGGL3 a worldwide, non-exclusive, sublicensable, royalty-free license to host, store, cache, reproduce, transmit, transcode, adapt for technical purposes, distribute, publicly perform, publicly display, moderate, and otherwise use your User Content as reasonably necessary to operate, secure, improve, provide, and make the Service available.

For content you make public, the license also permits TOGGL3 to create and display thumbnails, previews, clips, embeds, discovery surfaces, and reasonable promotional excerpts relating to TOGGL3 and the content available on the Service.

This license includes use of channel names, usernames, logos, avatars, voices, and likenesses appearing in User Content to the extent reasonably necessary for those purposes.

The license ends when the relevant User Content is deleted from TOGGL3’s active systems, except to the extent continued use is reasonably necessary for backups, legal compliance, fraud or safety records, content shared or clipped through features you enabled, or other circumstances expressly described in these Terms or our Privacy Policy.

8.4 Your representations about User Content

You represent that you have the rights necessary to submit your User Content and grant the licenses in these Terms.

You may not submit content if doing so, or TOGGL3’s permitted use of it, would violate another person’s intellectual-property, privacy, publicity, contractual, or other rights.

8.5 Clips and derivative platform features

Where TOGGL3 allows users to create clips or similar excerpts from creator content, ownership of the underlying creator content does not transfer to the person who created the clip.

A clip may become unavailable if the underlying content is removed, the creator changes applicable settings, or TOGGL3 removes the clip under these Terms.

8.6 Removal

You may delete eligible User Content using available Service controls.

TOGGL3 may remove, restrict, preserve, or disable User Content as permitted by these Terms, the Community Guidelines, applicable law, or valid legal process.

8.7 Feedback

If you voluntarily provide product ideas, suggestions, or feedback to TOGGL3, you permit us to use that feedback without restriction or compensation to you, provided this does not transfer ownership of unrelated intellectual property you may own.

9. Content and Conduct

The Community Guidelines contain the detailed rules governing content and behavior and are incorporated into these Terms.

Without limiting those Guidelines, you may not use the Service to:

Mature games, strong language, and adult conversation are allowed only within these boundaries and the Community Guidelines.

10. Safety and Legally Required Removal

10.1 Reports

TOGGL3 provides mechanisms for reporting content and behavior that may violate these Terms, our Community Guidelines, or applicable law.

A report does not guarantee any particular enforcement outcome.

10.2 Child sexual exploitation

TOGGL3 prohibits child sexual abuse material and other sexual exploitation of minors.

Where applicable law requires TOGGL3 to report apparent child sexual exploitation or related offenses, we will make the required report to the appropriate organization or authority. We may also preserve relevant information or make additional reports where legally permitted and appropriate.

10.3 Nonconsensual intimate imagery

TOGGL3 prohibits nonconsensual intimate imagery, including qualifying digitally altered or artificially generated intimate depictions.

We provide a process through which affected people or their authorized representatives may request removal of qualifying material in accordance with applicable law, including the TAKE IT DOWN Act where applicable.

Access to a legally required intimate-image removal process does not require a paid TOGGL3 Membership and, where required by law, does not require a TOGGL3 account.

10.4 Emergency and legal action

We may preserve information, restrict access, notify appropriate authorities, or take other actions where reasonably necessary to respond to imminent threats, protect users, comply with legal obligations, or respond to valid legal process.

11. Enforcement and Appeals

We may enforce these Terms and the Community Guidelines through content removal, warnings, loss of features, monetization restrictions, temporary suspension, termination, channel unpublishing, media restrictions, competitive penalties, or other proportionate measures.

We may act without advance notice where reasonably necessary for safety, fraud prevention, payment integrity, legal compliance, or protection of the Service.

Where available, enforcement information may be displayed through Account Standing or similar features.

TOGGL3 may provide an internal appeal process for eligible enforcement actions. Some actions may not be appealable, including certain actions compelled by law, final payment-provider restrictions, or circumstances where an appeal would compromise safety, security, fraud investigations, or legal obligations.

Nothing in this section limits appeal or complaint rights that applicable law independently requires TOGGL3 to provide.

12. Competitive Integrity

Ratings, XP, levels, badges, titles, rankings, and other competitive standing are earned through qualifying play or participation.

TOGGL3 does not sell competitive rating, XP, ranking, tournament standing, or other gameplay advantage.

Cheating, match fixing, ringing, intentional rating manipulation, abusive smurfing, collusion, exploitation of tournament systems, falsification of results, and similar manipulation are prohibited.

Violations may result in corrected or voided results, forfeited standings or prizes, competitive restrictions, or account enforcement.

Official tournament results may form part of a public competitive record and may remain available after profile changes or account closure, subject to applicable privacy law.

13. Guilds and Tournaments

13.1 Guilds and tournaments generally

Guilds are user-organized communities, and tournaments are competitive events available through the Service.

Public guild and tournament information may be viewable without Membership. Joining, creating, administering, registering, or competing may require an active TOGGL3 Membership.

Guild owners, officers, tournament organizers, captains, referees, and other community administrators are responsible for operating their communities and events consistently with these Terms and applicable rules.

They are not TOGGL3 employees, agents, partners, or representatives and cannot bind TOGGL3.

Tournament prizes, where offered, are governed by the applicable tournament rules and eligibility requirements and remain subject to applicable law.

13.2 Community tournaments

A community tournament is a tournament created and run by a creator (the host) on their own channel through Creator Studio, rather than by TOGGL3. Hosting a community tournament is governed by the Tournament Host Terms, and registering for or taking part in one is governed by the Community Tournament Terms. Both are incorporated into these Terms by reference, and each records the version you accepted.

14. Intellectual Property and Copyright

14.1 TOGGL3 property

The Service, including TOGGL3 software, interfaces, designs, graphics, trademarks, logos, and other TOGGL3-provided materials, is owned by TOGGL3 or its licensors and protected by applicable intellectual-property laws.

Subject to these Terms, TOGGL3 grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes.

No other rights are granted by implication.

14.2 Copyright complaints

TOGGL3 respects copyright and maintains a process for notices and counter-notices under the Digital Millennium Copyright Act and other applicable copyright laws.

14.3 Repeat infringers

TOGGL3 maintains and reasonably implements a policy providing for termination, in appropriate circumstances, of users who repeatedly infringe copyright or other intellectual-property rights.

15. Third-Party Services and Applications

The Service may rely on or interact with third-party payment processors, payout providers, app stores, authentication services, game publishers, linked websites, integrations, and other third-party services.

Your use of a third-party service may be governed by separate terms between you and that provider.

TOGGL3 is not responsible for a third party’s independent products, services, availability, acts, or omissions except to the extent applicable law provides otherwise.

15.1 Disputes between users

Disputes between users — including between viewers and creators, among guild members, or among tournament participants — are between those parties. TOGGL3 is not a party to those disputes and has no obligation to mediate or resolve them, although we may take enforcement action under Section 11 where the conduct at issue violates these Terms or the Community Guidelines. In a community tournament the host decides disputes under the host’s published rules, and TOGGL3 may review or overturn a host’s ruling as described in Section 13.2.

16. Service Delivery and Availability

Streaming and other content may be delivered using technologies and infrastructure selected by TOGGL3 and may change during a session or over time.

Low latency is not guaranteed.

Some live viewing without a Membership is offered as a limited sample that may change.

We do not guarantee any particular streaming protocol, latency, bitrate, resolution, frame rate, route, device compatibility, uninterrupted availability, or transmission quality.

Performance may vary because of network conditions, device capabilities, maintenance, capacity management, abuse prevention, outages, third-party infrastructure, force majeure events, or other factors beyond TOGGL3’s reasonable control.

17. Termination, Account Closure, and Data

17.1 Closing your account

You may stop using TOGGL3 at any time and may request account closure or deletion through the mechanisms we provide.

Privacy rights relating to personal information are described in our Privacy Policy and applicable regional notices.

17.2 TOGGL3 termination

We may suspend or terminate accounts and access as permitted by these Terms, including for violations, fraud, payment abuse, legal requirements, or serious risks to users or the Service.

17.3 Effect on subscriptions and content

Following account closure or termination, future subscription renewals associated with the account may be cancelled and access to Service entitlements may end.

Refunds remain governed by Section 4.

User Content may be deleted, de-identified, preserved, or remain accessible in limited circumstances as described in Section 8 and our Privacy Policy.

17.4 Records that may survive

We may retain information where reasonably necessary for financial recordkeeping, tax compliance, fraud prevention, payment disputes, security, enforcement records, legal holds, litigation, regulatory obligations, public competitive records, or other purposes permitted by applicable law.

Where appropriate, records may be pseudonymized or de-identified rather than deleted.

17.5 Creator earnings

Termination does not by itself eliminate undisputed creator earnings that became payable before termination, although those amounts remain subject to legitimate refunds, chargebacks, fraud review, reserves, sanctions restrictions, withholding, legal obligations, and other deductions permitted under these Terms.

18. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TOGGL3 DISCLAIMS WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT USER CONTENT, CREATOR CONTENT, THIRD-PARTY CONTENT, OR INFORMATION AVAILABLE THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, SAFE, OR APPROPRIATE FOR YOUR PARTICULAR PURPOSE.

TOGGL3 DOES NOT ENDORSE USER CONTENT MERELY BY HOSTING, RECOMMENDING, RANKING, OR MAKING IT AVAILABLE.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOGGL3 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM OR RELATING TO THE SERVICE.

EXCEPT FOR OBLIGATIONS THAT CANNOT LAWFULLY BE LIMITED, TOGGL3’S AGGREGATE LIABILITY FOR CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF [US $100] OR THE AMOUNT YOU PAID DIRECTLY TO TOGGL3 DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION DOES NOT ELIMINATE TOGGL3’S OBLIGATION TO PAY VALID, UNDISPUTED CREATOR EARNINGS OTHERWISE DUE UNDER THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW SOME DISCLAIMERS OR LIMITATIONS, SO THESE PROVISIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless TOGGL3 and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your User Content, your violation of another person’s rights, your unlawful use of the Service, or your material violation of these Terms.

TOGGL3 will provide reasonable notice of an indemnified claim where practicable.

21. Governing Law and Disputes

These Terms are governed by the laws of [STATE/JURISDICTION], without regard to its conflict-of-laws principles, except where applicable consumer law requires otherwise.

Any dispute not subject to a separate enforceable arbitration agreement will be brought in [STATE/FEDERAL COURTS AND COUNTY], except where applicable law gives you the right to bring a claim elsewhere.

Nothing in this Section waives rights that applicable law prohibits a party from waiving.

22. Changes to These Terms

Where applicable law requires renewed affirmative consent, we will request that consent rather than relying solely on continued use.

TOGGL3 may maintain records identifying the Terms version accepted by an account.

23. Electronic Communications

You agree that TOGGL3 may provide transactional, legal, billing, security, and account notices electronically, including by email, in-product notification, or posting through the Service, to the extent permitted by applicable law.

Marketing communications are governed separately by applicable law and the preferences made available to you.

You are responsible for maintaining an email address through which required account notices can reasonably reach you.

24. Miscellaneous

These Terms, the Community Guidelines, applicable purchase terms, tournament rules, the Tournament Host Terms, the Community Tournament Terms, creator-program terms, and other terms expressly incorporated by reference constitute the applicable agreement between you and TOGGL3 concerning your use of the Service.

Our Privacy Policy describes our handling of personal information.

If a specific product or program term conflicts with these Terms regarding that product or program, the more specific term controls to the extent of the conflict.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect to the extent permitted by law.

TOGGL3’s failure to enforce a provision is not a waiver of that provision.

You may not assign or transfer these Terms or your TOGGL3 account without our written consent. TOGGL3 may assign these Terms in connection with a merger, reorganization, financing, acquisition, sale of assets, or similar business transaction, subject to applicable law.

Headings are for convenience only.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, User Content licenses to the extent expressly stated, accrued payment obligations, enforcement records, disclaimers, limitations of liability, indemnification, disputes, and miscellaneous terms.

25. Regional Terms

Certain jurisdictions grant consumers or platform users rights that cannot be waived by contract. Nothing in these Terms limits those non-waivable rights.
